Legal Agreement — Please Read Before Use

These Modern Hotel Booking terms of service, together with the End User License Agreement (EULA) for the Pro edition, govern your access to and use of the Modern Hotel Booking WordPress plugin (Free and Pro editions), this website, and all related services. By installing, activating, or using the software in any way, you agree to be bound by these terms in full.

1. Acceptance of Terms

By downloading, installing, activating, copying, or using the Modern Hotel Booking plugin in any form — including the Free edition available on WordPress.org and the Pro edition available via our website — you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service in their entirety. If you do not agree to these terms, you must not install or use the software.

If you are accepting these terms on behalf of an organisation, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms. In that case, “you” and “your” refer to that entity.

We reserve the right to modify these terms at any time. Changes will be posted at this URL with an updated effective date. Your continued use of the software after changes are posted constitutes acceptance of the revised terms. It is your responsibility to review these terms periodically.

2. Software Licensing — Free Edition and Pro Edition Are Licensed Differently

The Free edition and the Pro edition of Modern Hotel Booking are governed by different and separate licences. It is important that you understand which licence applies to the version you are using.

2a. Free Edition — GNU General Public License (GPL v2+)

The Modern Hotel Booking Free edition is licensed under the GNU General Public License version 2 or later (GPL v2+), consistent with the WordPress licensing requirements. Under the GPL, you are free to use, modify, and redistribute the Free edition plugin code in accordance with the GPL licence terms. A copy of the GPL v2 licence is available at gnu.org/licenses/gpl-2.0.html.

The GPL licence governs the Free edition software code only. These Terms of Service additionally govern the service relationship between you and us, including your use of this website, documentation, and any support interactions. The GPL does not grant you any right to our support services, branding, trademarks, or proprietary documentation.

2b. Pro Edition — Proprietary End User License Agreement (EULA)

By purchasing, installing, or using the Modern Hotel Booking Pro edition, you agree to the following EULA terms in full, which are incorporated into these Terms of Service:

Licence keys, update delivery, and Pro access credentials are proprietary service components. Sharing or distributing your Pro licence key or access credentials is a breach of these terms and the EULA regardless of any rights otherwise granted by open-source licences.

3. Free and Pro Editions — Features and Subscription Terms

The Free edition includes unlimited room categories, AJAX booking calendars, basic booking management, email notifications, and the AI Concierge virtual receptionist module. The Free edition is provided entirely without warranty, support obligation, or service level commitment of any kind.

The Pro edition adds premium features including but not limited to: native payment processing (Stripe, PayPal) without WooCommerce dependency, automatic two-way iCal OTA calendar sync, advanced pricing rules, additional themes, analytics intelligence, webhooks, tax configuration, coupon management, and booking extras. The feature set of the Pro edition may change over time as we add, modify, or remove features at our sole discretion. We do not guarantee that any specific feature will remain available in future versions.

Pro licences are sold as annual subscriptions. The current standard price is USD $49 per year per single-site licence. Pricing is subject to change. Active Pro licences include software updates and access to support services for the duration of the licence period. Subscriptions renew automatically at the annual rate unless cancelled before the renewal date. If your licence expires or is not renewed, you retain access to the version of the software installed at expiry but will no longer receive updates, support, or access to Pro features that require active licence verification. It is your responsibility to manage your subscription renewal — we are not liable for any loss of service, access, or functionality resulting from a lapsed licence.

4. Payment Terms and No-Refund Policy

All purchases of Modern Hotel Booking Pro licences are final and non-refundable. The Pro edition is a proprietary digitally delivered software product that is made available immediately upon payment confirmation. By completing your purchase, you expressly request immediate access to the digital content and explicitly acknowledge and agree that you waive any right of withdrawal, cooling-off period, or refund that may otherwise be available to you under consumer protection laws applicable in your jurisdiction — including but not limited to the EU Consumer Rights Directive (2011/83/EU) and the EU Digital Content Directive (2019/770/EU) — to the fullest extent permitted by applicable law.

We strongly encourage you to evaluate the Free edition, read all documentation at modernhotelwp.com/docs/, and review the full feature list before purchasing. The availability of a full-featured free version means you can assess the plugin’s suitability for your use case at no cost before making any purchase commitment. No refund will be issued on the basis that the software did not meet your expectations, did not function as you anticipated, or that you changed your mind after purchase.

In the event of a verified billing error on our part — such as a duplicate charge — please contact us at [email protected] within 14 days of the charge. Verified billing errors will be reviewed and corrected at our discretion. This does not constitute a general right of refund.

All prices are displayed in USD unless otherwise stated. You are solely responsible for any taxes, duties, currency conversion fees, or levies applicable to your purchase under the laws of your jurisdiction. We are not responsible for any additional charges imposed by your bank, card issuer, or government.

5. AI Concierge — Third-Party API Terms, Accuracy, and Responsibility

The AI Concierge virtual receptionist module is included in both Free and Pro editions. It functions as an interface between your WordPress installation and third-party large language model (LLM) API services. To activate AI capabilities, you must configure your own API keys from supported providers, which currently include Google Gemini and OpenAI, among others.

Accuracy disclaimer: AI-generated responses are provided for informational purposes only. StartMySuccess does not warrant the accuracy, completeness, or reliability of any information, pricing, availability, policy statement, or other content generated by the AI Concierge. AI models may produce incorrect, outdated, misleading, or hallucinated responses. You are solely responsible for verifying any bookings, policies, or statements made by the AI Concierge before acting on or honouring them. We expressly disclaim all liability for any loss, damage, guest dispute, or legal consequence arising from AI-generated content.

You are solely and exclusively responsible for: (a) obtaining and maintaining valid API keys from each third-party provider; (b) all API usage charges incurred under your accounts; (c) reading, understanding, and complying with the terms of service, acceptable use policies, and privacy policies of each provider whose API you connect; (d) all content generated by the AI and delivered to your guests or visitors; (e) ensuring that your use of AI-generated content complies with all applicable laws, including those governing consumer communications, advertising standards, and data privacy.

We do not operate, control, or have access to your API keys or any content processed through third-party LLM APIs. The availability and performance of the AI Concierge module depends entirely on the availability and functionality of those third-party providers. We are not responsible for any interruption, degradation, pricing change, rate limit, model deprecation, or policy change by any third-party AI provider that affects your use of this module.

6. iCal Sync, OTA Integrations, and Double-Booking Risk

The Pro edition includes iCal calendar synchronisation functionality that enables the exchange of availability data between your WordPress installation and third-party OTA platforms such as Airbnb, Booking.com, VRBO, and others via the iCalendar standard protocol (RFC 5545).

iCal synchronisation is a polling-based protocol and is not real-time. Updates between platforms occur on configurable intervals and are additionally subject to the independent update schedules of third-party OTA platforms, which are entirely outside our control. There is always an inherent time delay between a booking being confirmed on one platform and that availability being propagated to other connected platforms. This delay creates an unavoidable window during which a double booking may occur.

We do not warrant or guarantee that: (a) iCal synchronisation will prevent double bookings; (b) availability data will be transmitted or received within any specific timeframe; (c) any third-party OTA platform will accept, process, or act upon iCal data from this plugin; (d) the iCal sync feature will function correctly with any specific OTA platform, including platforms that may restrict, deprecate, or discontinue iCal support at any time without notice to us. We do not have a certified API connection to Booking.com or any other OTA platform and are not a certified connectivity partner of any OTA.

You assume all risk and responsibility for any double bookings, overbookings, or calendar conflicts arising from use of the iCal sync feature, from any failure or delay in synchronisation, from reliance on availability data displayed in any connected platform, or from any inherent limitation of the iCal protocol itself. We shall have no liability whatsoever for any costs, penalties, guest relocation costs, OTA fines, lost revenue, reputational damage, or other consequences of a double booking or calendar error — whether or not such error was contributed to by a defect, delay, or failure in the plugin’s synchronisation functionality.

You are responsible for maintaining accurate availability across all platforms on which you list your property and for maintaining manual oversight of your calendar. No automated synchronisation system eliminates the risk of booking conflicts on multi-channel property listings.

7. Payment Gateway Integrations

The Pro edition includes native integration with third-party payment processing services including Stripe and PayPal. We are not a payment processor, financial institution, or money services business. We do not process, hold, transmit, or have access to any payment card data or financial transactions made through your installation of this plugin. All payment processing is handled directly between your guests and the respective third-party payment processor under that processor’s own terms and privacy policy.

You are solely responsible for: (a) establishing accounts with Stripe, PayPal, or any other payment processor; (b) complying with those processors’ terms of service, acceptable use policies, and underwriting requirements; (c) complying with PCI DSS and all other applicable payment security standards; (d) all financial transactions processed through your installation; (e) issuing receipts, managing disputes and chargebacks, and complying with all laws applicable to the collection of payment from guests in your jurisdiction. We are not responsible for failed payments, processor outages, fraud, chargebacks, disputes, account holds, or any payment-related issue arising from your use of integrated gateways.

8. Security, Data, and Your Privacy Obligations

You acknowledge that the security of your WordPress environment and any guest data processed by this software is your sole responsibility. StartMySuccess is not liable for data breaches, unauthorised access, or loss of information resulting from vulnerabilities in your server, WordPress core, hosting environment, themes, other plugins, or any third-party integrations — regardless of whether such vulnerabilities were introduced before or after your installation of this plugin.

When you use this plugin to accept bookings from guests, you are the data controller under applicable data protection laws including the EU General Data Protection Regulation (GDPR), the UK GDPR, and equivalent laws in other jurisdictions. As data controller, you are solely responsible for: (a) maintaining a lawful basis for processing guest personal data; (b) providing guests with required privacy notices; (c) responding to data subject rights requests; (d) implementing appropriate technical and organisational security measures; (e) complying with data breach notification obligations; (f) maintaining records of processing activities; (g) complying with all applicable data protection laws in the jurisdictions in which you operate and where your guests are located.

We are not responsible for your compliance with GDPR or any other data protection law. Our own privacy practices are described in our Privacy Policy.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE (BOTH FREE AND PRO EDITIONS), WEBSITE, DOCUMENTATION, AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, we expressly disclaim all warranties including but not limited to: (a) implied warranties of merchantability, fitness for a particular purpose, and non-infringement; (b) any warranty that the software will be uninterrupted, error-free, secure, or free of harmful components; (c) any warranty regarding the accuracy, completeness, reliability, or timeliness of any content, data, calculations, or outputs generated by the software — including but not limited to ADR, RevPAR, occupancy rate calculations, revenue figures, tax calculations, lead time analysis, forecasts, and iCal synchronisation data; (d) any warranty that the software will be compatible with any particular hosting environment, WordPress version, theme, plugin, server configuration, or third-party service; (e) any warranty that defects will be corrected or that any update will not introduce new defects.

Any reliance you place on the accuracy of calculations, analytics, reports, forecasts, or other outputs generated by the software is entirely at your sole risk. We recommend you independently verify any financial or operational data before relying on it for any business, tax, or financial purpose.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STARTMYSUCCESS, MODERNHOTELWP.COM, OR THEIR RESPECTIVE OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER — INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, DATA BREACHES, OR ANY OTHER PECUNIARY LOSS — ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF STARTMYSUCCESS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This exclusion applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise). Types of damages excluded include but are not limited to:

• Loss of revenue, profit, business, bookings, or anticipated savings
• Costs arising from double bookings, overbookings, or calendar synchronisation failures
• Guest relocation costs, OTA penalties, platform fines, or cancellation fees imposed by any platform
• Loss or corruption of data
• Reputational damage or loss of goodwill
• Fines, penalties, or legal costs arising from your failure to comply with applicable laws or regulations
• Costs arising from third-party API failures, rate changes, policy changes, or service discontinuation
• Damages arising from unauthorised access to your system, data, or server environment
• Any losses arising from errors, omissions, inaccuracies, or defects in the software, documentation, or any output generated by the software — whether or not such errors or omissions were caused by our negligence, oversight, or fault
• Any losses arising from software updates, version changes, or feature modifications or removals
• Any loss arising from your reliance on AI-generated content produced via the AI Concierge module
• Any loss arising from your reliance on payment, tax, or financial calculations produced by the software

In any case, StartMySuccess’s entire aggregate liability to you for all claims arising under these terms or the EULA — regardless of the basis of the claim — shall be limited to the total amount actually paid by you for the Pro edition licence in the twelve (12) month period immediately preceding the event giving rise to the claim. If you are using the Free edition, our maximum aggregate liability is USD $10.

Some jurisdictions do not permit the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these terms excludes or limits liability for death or personal injury caused by our gross negligence, or for fraud or fraudulent misrepresentation, to the extent that such exclusion or limitation is prohibited by applicable law.

11. Errors, Omissions, and Inaccuracies

The software, documentation, support materials, website content, changelog notices, and feature descriptions may contain errors, omissions, or inaccuracies — including technical errors, typographical errors, incorrect feature descriptions, outdated information, or errors that affect the functioning of the software itself. We do not warrant that any such errors will be corrected, and we accept no liability for any loss or damage arising from errors or omissions in any materials or outputs — whether or not such errors or omissions were caused by our own negligence, oversight, or fault.

Calculations produced by the plugin — including ADR, RevPAR, occupancy rate, tax, revenue totals, lead time figures, forecasts, and report data — are based on data entered into and stored by the plugin. Errors in input data, configuration errors, or software defects may produce incorrect outputs. You are responsible for verifying the accuracy of all financial and operational data before using it for any purpose, including tax filing, financial reporting, or business decisions. We accept no liability for losses arising from incorrect calculations, whether caused by software defect, configuration error, or any other cause.

We reserve the right to correct errors and omissions at any time without notice and without liability for any consequence of such correction or of our failure to correct.

12. Indemnification

You agree to defend, indemnify, and hold harmless StartMySuccess, modernhotelwp.com, and their respective owners, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the software or any related service; (b) your violation of these terms or the EULA; (c) your violation of any applicable law or regulation; (d) your property management operations, guest interactions, or booking practices; (e) any data breach, privacy violation, or failure to protect guest personal data arising from your installation or use of the software; (f) any claim by a guest, OTA, payment processor, tax authority, or regulatory body arising from your use of the software; (g) any content you publish, communicate, or deliver in connection with your use of the software, including AI-generated content.

13. Third-Party Services and Integrations

The software integrates with or references third-party services including but not limited to: Stripe, PayPal, Airbnb, Booking.com, VRBO, Google Calendar, Google Gemini, OpenAI, NOBEDS, and WordPress.org. These integrations are provided as a convenience. We are not affiliated with, endorsed by, or responsible for any third-party service, platform, or provider. Third-party services have their own terms of service, privacy policies, pricing, and technical requirements and may change, restrict, limit, or discontinue features or API access at any time without notice to us. We are not responsible for any impact on the functionality of this plugin resulting from changes made by any third-party service. References to third-party tools in our documentation are for informational purposes only and do not constitute endorsement, partnership, or affiliation.

14. Prohibited Uses

You agree not to use this software or related services for any unlawful, fraudulent, or harmful purpose, or in any manner that could damage, disable, overburden, or impair our systems. Prohibited uses include but are not limited to: (a) using the software for any fraudulent, deceptive, or misleading purpose; (b) collecting or processing guest data in violation of applicable data protection laws; (c) using the AI Concierge module to generate content that is false, misleading, harassing, defamatory, or in violation of applicable law; (d) circumventing any licence verification, access control, or authentication mechanism; (e) redistributing, reselling, sublicensing, or sharing the Pro edition software or licence key in violation of the EULA; (f) using the software in any jurisdiction where doing so would violate local law.

15. Your Legal Compliance Obligations

You are solely responsible for ensuring that your use of this software and your property management business comply with all applicable laws. This includes but is not limited to:

• Tourism, accommodation, and short-term rental licensing and registration requirements
• Local zoning, planning, and property use regulations
• Consumer protection laws, including cancellation policy disclosure requirements
• Guest data protection and privacy laws, including GDPR and equivalent national laws
• Tax collection, reporting, and remittance obligations, including VAT, sales tax, occupancy tax, and tourism levies
• Payment processing regulations and financial services laws
• Anti-discrimination laws applicable to accommodation providers
• Accessibility requirements for websites and digital booking systems
• Health, safety, and fire regulations applicable to your property
• OTA platform terms of service and requirements for calendar accuracy and guest communications

We make no representation that this software is appropriate for use in any particular jurisdiction. You assume all risk and legal responsibility for ensuring compliance with all applicable requirements. We strongly recommend you obtain appropriate legal, tax, and regulatory advice for your specific situation.

16. Support Services

Support services are provided to users with active Pro licences via documentation at modernhotelwp.com/docs/ and via email or helpdesk channels. Free edition users may access community support via the WordPress.org support forum. We do not guarantee response times, resolution times, or outcomes for any support request. Support is provided on a best-efforts basis and does not constitute a warranty that any defect or limitation will be corrected. We reserve the right to determine the scope of support provided and to decline requests outside the plugin’s documented functionality. We shall have no liability to you arising from our failure to resolve any support request or from any delay in providing support.

17. Intellectual Property

All rights reserved in the Pro edition software, brand, trademarks, logos, website content, documentation, marketing materials, and proprietary service components. Subject only to the GPL licence that applies to the Free edition code, nothing in these terms transfers any intellectual property rights to you. You may not use our name, logo, or trademarks in any way that implies endorsement, partnership, or affiliation without our prior written consent.

18. Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action, changes in law or regulation, internet or telecommunications failures, power failures, cyberattacks, third-party service outages including hosting providers, payment processors, or API providers, or any other event outside our reasonable control.

19. Governing Law and Dispute Resolution

These terms and the EULA are governed by and construed in accordance with the laws of the jurisdiction of the primary place of business of StartMySuccess, without regard to conflict of law principles. Any dispute arising out of or in connection with these terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the courts of competent jurisdiction as required by applicable law.

If any mandatory consumer protection rights apply to you under the laws of your jurisdiction — including rights that cannot be excluded or limited by contract under EU consumer law — those rights are not affected by these terms. These terms apply to the maximum extent permitted by applicable law.

20. Severability and Entire Agreement

If any provision of these terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

These Terms of Service, together with the EULA incorporated herein and our Privacy Policy, constitute the entire agreement between you and StartMySuccess regarding your use of the software and related services. They supersede all prior agreements, representations, and understandings on these matters. No waiver of any breach shall be construed as a waiver of any subsequent breach.
